By creating an account or using the service, you agree to be bound by these Terms as a legally binding agreement between your business and NexaiByte Ltd. 1. The Service NexaiPOS provides small and medium-sized businesses with tools for recording sales, managing inventory, tracking expenses, and generating business reports. The service is provided on a subscription basis and is accessible via web or mobile application. 2. User Accounts and Security Eligibility: You must be a registered business entity or an individual authorized to conduct business in your jurisdiction. Responsibility: You are responsible for all activity that occurs under your account. You must keep your login credentials confidential. Staff Access: You are responsible for the actions of any employees or staff members to whom you grant "Sub-User" access within the app. 3. Subscription and Payments Fees: Use of NexaiPOS is subject to the subscription fees associated with your chosen plan (Monthly or Yearly). Billing: Fees are billed in advance. Failure to pay subscription fees may result in temporary suspension of access to your data. Refunds: Payments are generally non-refundable unless otherwise stated by NexaiByte Ltd in writing. 4. Use of Data and Content Ownership: You retain 100% ownership of the sales data and inventory records you input into the system. License to Host: By using the service, you grant NexaiByte Ltd the right to host, back up, and process your data solely to provide the service to you. Prohibited Content: You may not use the service to record or sell illegal goods, or to facilitate fraudulent financial activities. 5. Service Availability and Support Uptime: We strive for 99.9% uptime. However, we do not guarantee uninterrupted service due to maintenance or external factors (e.g., internet outages or server failures). Support: Technical support is provided via email, WhatsApp, or in-app chat during standard Nigerian business hours (WAT). 6. Modifications to Service NexaiByte Ltd reserves the right to modify or discontinue features of NexaiPOS to improve performance or comply with regulations. We will provide reasonable notice for any major changes that significantly impact your business operations. 7. Limitation of Liability To the maximum extent permitted by law, NexaiByte Ltd shall not be liable for: Loss of profits, data, or business opportunities. Indirect, incidental, or consequential damages resulting from the use or inability to use the software. Errors in financial reporting caused by incorrect user input. 8. Termination By You: You may cancel your subscription at any time. Your data will remain accessible until the end of the current billing cycle. By Us: We may terminate your access for violation of these Terms, non-payment, or if your use of the service poses a security risk to other users. 9. Governing Law These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be settled through mediation or in the courts of Nigeria.
